Terms of Service

Please read these terms carefully before using Conkr.

Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any guarantee, warranty, term or condition that is implied or imposed by the Competition and Consumer Act 2010 (Cth) or any other applicable Australian consumer protection legislation ("Consumer Laws"). Where we are permitted to limit your remedy for a breach of a consumer guarantee under the Consumer Laws, our liability is limited to either resupplying the services or paying the cost of having the services resupplied.

1. Definitions

"Conkr" means Conkr (ACN 123 456 789), trading as Conkr.

"Services" means the business management software and related services provided by Conkr.

"User" or "you" means any person who accesses or uses the Services.

"Customer Data" means any data, information, or content you input into the Services.

2. Acceptance of Terms

By accessing or using Conkr's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of the terms, you may not access the service. These terms apply to all visitors, users, and others who access or use the service. You warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. Description of Service

Conkr provides business management software for Australian trade businesses, including but not limited to:

  • • Job and project management
  • • Quoting and invoicing with Australian GST compliance
  • • Customer relationship management
  • • Scheduling and calendar management
  • • AI-powered business tools
  • • Mobile applications for iOS and Android
  • • Customer portal for job tracking and payments

4. Accounts and Registration

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

5. Subscription and Billing

5.1 Free Trial

We offer a 30-day free trial. No credit card required. During the trial you get full Enterprise-level access with unlimited users, jobs, quotes, invoices, and AI generation. After the trial, you must select a paid plan to continue using the service.

5.2 Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are in Australian Dollars (AUD) and include GST where applicable. Payment is processed via Stripe. You authorize us to charge your nominated payment method.

5.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. No refunds for partial months.

5.4 Refunds

We comply with Australian Consumer Law. If you believe you are entitled to a refund under consumer guarantees, contact us. For annual plans, refunds may be considered on a case-by-case basis within 30 days of purchase if you have not substantially used the service.

5.5 Price Changes

We may change pricing with 30 days' notice. Price changes take effect at your next billing cycle after the notice period.

6. Acceptable Use

You agree not to use the service:

  • • For any unlawful purpose or to violate any applicable laws
  • • To harass, abuse, insult, harm, or discriminate against others
  • • To transmit any worms, viruses, or malicious code
  • • To attempt to gain unauthorized access to any part of the service
  • • To interfere with other users' access or the service's functionality
  • • To scrape, data mine, or use automated means to access the service without permission
  • • To send unsolicited communications (spam) to your customers without proper consent
  • • To store or process sensitive personal information without adequate security measures

7. Data Ownership and Processing

Your Data: You retain all rights to your data. We claim no ownership over your customer information, job details, or business data.

Our License: You grant us a limited license to host, process, and transmit your data solely for the purpose of providing and improving the Services.

Data Export: You can export your data at any time through your dashboard. Upon account cancellation, you have 30 days to export your data.

Data Deletion: Upon cancellation, your data will be retained for 30 days then permanently deleted, except where we are required by law to retain it longer (e.g., tax records).

8. Service Level Agreement

We aim for 99.9% monthly uptime. "Downtime" means the Services are unavailable due to issues within our control, excluding scheduled maintenance, force majeure events, or third-party service failures.

If we fall below 99.9% uptime for a calendar month, eligible customers on paid plans may request a service credit equal to 10% of their monthly subscription fee. Service credits are your sole remedy for downtime.

Scheduled maintenance will be notified at least 48 hours in advance via email or in-app notification.

9. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of Conkr and its licensors. The Services are protected by copyright, trademark, and other laws of Australia and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

10. Limitation of Liability

Subject to the Australian Consumer Law, in no event shall Conkr, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • • Your access to or use of or inability to access or use the Services
  • • Any conduct or content of any third party on the Services
  • • Any content obtained from the Services
  • • Unauthorized access, use, or alteration of your transmissions or content

Our total liability to you for all claims arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or AUD $100 if you have not paid.

11. Indemnification

You agree to defend, indemnify, and hold harmless Conkr and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved through good faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within 30 days, either party may refer the matter to mediation in Brisbane, Queensland in accordance with the Australian Centre for International Commercial Arbitration (ACICA) Mediation Rules.

If mediation fails to resolve the dispute, either party may commence proceedings in the courts of Queensland.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
